CEUspot.com (“CEUspot.com”, “we”, or “us”, “our”, “ours”) maintains this website (the “Site”) for user (“you”, “your,” “yours”) information. We provide our content and services to you on this Site subject to the following Terms of Service (the “terms”, “Agreement”).

BY USING OUR SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT and the Privacy Policy, understand it, and agree to be bound by it. If you do not agree to any of the terms, please discontinue accessing the Site.   

Use of Site. You must comply with all applicable laws, rules and regulations while accessing or using the Site and services. In addition, you agree to the following uses of this Site:

-You are at least 18 years of age;

-You possess the legal authority to create a binding legal obligation;

-You will use this Site in accordance with the Terms;

-You will use this Site and its materials on the Site or for download for non-commercial, personal use only.

Prohibited Uses. You must comply with all applicable laws, rules and regulations while accessing or using the Site and services. In addition, you agree to the following prohibited uses of this Site:

-You may not impersonate any other person or falsify information;

-You may not submit any information that is encrypted or that contains viruses, worms, or other computer programming routines that are intended to damage, interfere with, disrupt, impair or disable the Site in any way;

-You may not take any action that imposes or may impose, in our discretion, an unreasonable or disproportionately large load on our Site;

-You may not interfere with any security-related features of the Site or features that enforce limitations on the use of the Site;

-You may not modify, adapt, reproduce, distribute or translate and sell the Site content or material or its modified, adapted or translated content or material in any way;

-You may not exploit the Site in any way, including “framing,” “mirroring,” or otherwise incorporate any part of this Site into any other website without our prior written permission.

Access. You are responsible for obtaining and maintaining all computer hardware, equipment and services needed to access and use the Site, and paying all charges related thereto.

The Site is controlled from within the U.S. We make no guarantee that materials in the Site or services are appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access this Site or services from other locations do so on their own accord and are responsible for compliance with applicable local laws. You may not use or export the materials in violation of U.S. export laws and regulations.  

Warranty Disclaimer. CEUspot.com’s services are provided to you “as is” and “with all faults.” CEUspot.com and its affiliates, and licensors: (A) Cannot and do not warrant the accuracy, completeness, currency or non-infringement of the CEUspot.com’s services provided hereunder or that your use of our services will be error-free or uninterrupted, free from other failures or will meet your requirements or function in accordance with related documentation in every combination of hardware platform, software environment and service configuration; and (B) Expressly disclaim all warranties, representations, guarantees, and conditions, express, implied or statutory, including without limitation the implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement. Any use of our services is entirely at your own risk, including the risk for selecting our services to achieve your intended results and performance, and use of our services.

You acknowledge that documents posted to and content available on the Site may contain computer viruses unknown to us. Therefore, it is important that if you download any material from the Site, it is your responsibility to perform any anti-virus precautions. Under no circumstances will we be responsible for any loss or damage caused by any materials downloaded from the Site.

Limitation of Liability. Except where this limitation of liability would be void or ineffective under applicable statute or regulation, neither CEUspot.com onor its affiliates or licensors shall be liable under any claim, demand or action arising out of or relating to your use of our services, nor CEUspot.com’s performance of (or failure to perform) any obligation under this agreement, nor for any special, incidental, indirect, consequential or exemplary damages whether based in contract, tort or any other legal theory, including, without limitation, damages due to lost profits, lost savings, business interruption costs, damages from loss of business information or other damages caused by the inability to use our services, even if CEUspot.com, its affiliates or licensors had actual or constructive knowledge of the possibility of such loss or damages and whether or not such loss or damages were foreseeable. Our total liability to you for actual damages for any cause whatsoever will be limited to the amount paid by you for our services. This limitation of damages set forth herein constitutes a fundamental element of the basis of the bargain between CEUspot.com and you.

We make reasonable efforts to ensure that you receive credit with state licensing agencies for the education courses completed. That includes submitting the hours for your completed, passed and paid for a course. If you provide false, incorrect or incomplete personal information, we will not refund you, nor do we guarantee that your hours will be recorded to your license in a timely manner because of efforts needed to obtain complete personal information in order to submit to the state. We will make attempts to collect incomplete information, but if you do not provide all the required information to us that the state requires in order for you to receive course credit, we are not responsible for those hours, nor are not responsible for refunding you for the course. If you provide incorrect information, please note that we are not necessarily notified by the state. It is your sole responsibility to make sure your hours are recorded with the state to your license for the courses on this Site. False, impersonating info will cause a forfeiture in the course fee as well as your user account. CEUspot.com assumes no liability or responsibility for any losses or claims resulting from your failure to obtain credit with state licensing agencies and you expressly acknowledge and agree that you are solely responsible for any such losses, claims or other liabilities.

Discontinuance of Site and Services. We reserve the right, at any time and from time to time, temporarily or permanently, in whole or in part to: modify or discontinue the Site or any services, with or without notice; charge fees in connection with the use of the Site or services; or modify or waive any fees charged in connection with the Site or services. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site or of any service, content, feature, in whole or in part. Your continued access to or use of the Site or services after such changes will indicate your acceptance of such changes.

We reserve the right at our sole discretion to deny access to anyone to this Site and our services, including account termination, at any time for any reason, including, but not limited to, violation of the Terms.    

Governing Law and Venue. This Agreement shall for all purposes be governed by and interpreted in accordance with the laws of the State of Washington as those laws are applied to contracts entered into and to be performed entirely in Washington by Washington residents. Any legal suit, action or proceeding arising out of or relating to this Agreement shall be commenced in a federal court in Washington or in state court in Snohomish County, Washington, and each party hereto irrevocably submits to the jurisdiction and venue of any such court in any such suit, action or proceeding and waives any right which it may have to transfer or change the venue of any such suit, action or proceeding, except that in connection with any suit, action or proceeding commenced in a state court, each party retains whatever right it may have to remove such suit, action or proceeding to federal court in Washington. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement.

Waiver. Failure of either party to require strict performance by the other party of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by either party of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

Assignment. Neither this Agreement nor any of your rights or obligations hereunder may be assigned by you in whole or in part without the prior written approval of CEUspot.com. Any assignment of rights or delegation of duties in derogation of the foregoing shall be null and void.

Severability. If any part of this Agreement is for any reason found to be unenforceable, all other parts remain enforceable as long as a party's rights under this Agreement are not materially affected. In lieu of the unenforceable provision, the parties will substitute or add as part of this Agreement a provision that will be as similar as possible in economic and business objectives as was intended by the unenforceable provision.

Complete Agreement. This Agreement is the complete and exclusive statement of the agreement between CEUspot.com and you, which supersedes any proposal or prior agreement, oral or written, and any other communications between the parties in relation to the subject matter of this Agreement. This Agreement shall not be modified except by a subsequently dated written amendment or exhibit signed by both parties by their duly authorized representatives.

Refund Policy. To receive a refund, a refund request must be made within 3 days of purchase by emailing [email protected], and you have not attempted ANY portion of an exam. If you meet this condition, your refund will be credited to the same payment method that was used to purchase the course only.

No refunds will be given for the any of the following 7 conditions: (1) If you purchased any courses under an impersonated name, incorrect name or incomplete name, (2) If you have been issued a completion certificate, (3) If hours for the course have been recorded with the state, (4) If you dislike any course for whatever reason, (5) You are unable to pass the exam with a score of 75% or better, (6) Your computer equipment and services necessary to access the internet and the Site have been lost, destroyed or terminated, (7) If your hours were credited to the state in an untimely manner causing the credit not to be applied in time due to you not providing all the necessary and correct information (such as correct first and last names and state license number). It is your responsibility to make sure your hours are recorded with the state to your license.

Acknowledgement. You acknowledge that, in providing you with the CEUspot.com courses, CEUspot.com has relied upon your consent to be bound by the terms of this Agreement. You further acknowledge that you have read, understand, and agree to be bound by the terms of this Agreement.
